QuantSeller Mobile Application Terms of Use

1. Acceptance of These Terms

These Terms of Use ("Terms") govern your download, installation, purchase, access to, and use of the QuantSeller mobile application (the "App"), provided by Aryares LLC ("Aryares," "we," "us," or "our").

By downloading, installing, purchasing, accessing, or using the App, you agree to these Terms and to the QuantSeller Mobile Application Privacy Policy. If you do not agree, do not download, purchase, or use the App.

These Terms supplement the rules and terms of Apple App Store or Google Play. If a mandatory app-store term conflicts with these Terms, the mandatory app-store term controls to the extent of that conflict. Mandatory consumer rights that cannot lawfully be excluded remain unaffected.

2. About the App

QuantSeller is an offline-first seller calculation and planning application. Depending on the version and features available, the App may provide:

• Etsy and Amazon profit, fee, margin, ROI, pricing, advertising, break-even, shipping, and inventory calculators;
• materials and component records;
• stock quantities, reorder points, and stock movements;
• products, bills of materials, and production recipes;
• labor, packaging, waste, overhead, and production-cost planning;
• finished-product stock tracking;
• manual order and due-date planning;
• listing, photography, and readiness checklists; and
• comparisons and planning scenarios based on values entered by you.

The App does not connect to Etsy, Amazon, or another marketplace. It does not import live marketplace data, submit listings, place orders, change prices, access seller accounts, or provide marketplace automation.

3. Eligibility

The App is intended for adults who operate, manage, or plan an online-selling or product-based business. You must:

• have the legal capacity to accept these Terms;
• meet the minimum age required by applicable law and your app-store account;
• use the App only for lawful purposes; and
• have authority to accept these Terms if you use the App on behalf of a company or another legal entity.

4. License

Subject to these Terms and the applicable app-store rules, Aryares grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use the App on devices that you own or control for lawful personal or internal business purposes.

The App is licensed, not sold. Except for the limited license granted above, Aryares and its licensors retain all rights in and to the App.

5. Local Workspace and Your Data

Business information entered into the App is stored locally on your device. The App does not provide a cloud account, cloud synchronization, remote recovery, or guaranteed backup.

You retain responsibility for and control over information you enter into the local workspace. You are responsible for:

• ensuring that information you enter is lawful and accurate;
• minimizing personal information entered about customers, suppliers, or other individuals;
• protecting your device against unauthorized access;
• maintaining independent records or backups of important business information; and
• complying with privacy, consumer, tax, employment, marketplace, and other laws applicable to your information and business.

Resetting App data, clearing device storage, replacing or losing a device, changing backup settings, or uninstalling the App may permanently delete local information. Aryares cannot recover information that was never transmitted to Aryares.

6. Calculations and Estimates

All calculations, forecasts, scores, recommendations, comparisons, and outputs produced by the App are estimates based on:

• the values entered by you;
• general formulas and assumptions;
• settings selected by you; and
• fee or business assumptions available in the App at the time.

Marketplace fees, payment-processing charges, advertising costs, shipping costs, taxes, exchange rates, storage fees, fulfillment fees, return rates, discounts, laws, and marketplace policies may vary by country, category, product, seller account, transaction, or date and may change without notice.

Aryares does not guarantee that a result is complete, current, error-free, suitable for your circumstances, accepted by a marketplace, or consistent with the amount ultimately charged or received.

You must independently verify all inputs, formulas, rates, outputs, and marketplace rules before pricing a product, purchasing inventory, committing advertising spend, accepting an order, filing taxes, making a financial decision, or taking another business action.

7. No Professional Advice

The App is an informational calculation and planning tool. It does not provide:

• accounting or bookkeeping services;
• legal advice;
• tax advice or tax preparation;
• investment or financial advice;
• product-safety or regulatory advice;
• customs or import advice;
• marketplace compliance certification; or
• a guarantee of sales, profit, ranking, Buy Box eligibility, listing visibility, or business results.

Consult a qualified professional for advice specific to your business, legal obligations, tax position, products, and location.

8. Marketplace Independence

QuantSeller is an independent product of Aryares LLC. It is not endorsed, sponsored, operated, approved, or certified by Etsy, Inc., Amazon.com, Inc., or another marketplace.

Etsy, Amazon, and other names, logos, products, and trademarks belong to their respective owners. References to marketplaces are used only to identify compatible planning contexts or explain calculation assumptions.

You are solely responsible for complying with marketplace terms, seller policies, listing requirements, intellectual-property rules, product-safety rules, consumer-protection requirements, and all laws applicable to your business.

9. Free Version and Advertising

The free version may display advertising and may limit access to selected tools or capabilities. Advertising may be provided by Google Mobile Ads or another disclosed provider.

Advertising availability, format, frequency, consent requirements, and content may vary by country, device, App version, and third-party provider. We do not guarantee that advertising or consent services will always be available or error-free.

Your privacy choices relating to advertising are described in the QuantSeller Mobile Application Privacy Policy.

10. QuantSeller Mobile Pro

QuantSeller Mobile Pro may be offered as a one-time in-app purchase. The features unlocked are those described in the App and store listing at the time of purchase.

Unless expressly stated otherwise:

• Mobile Pro is not a subscription;
• Mobile Pro applies to the eligible store account through which it was purchased;
• Mobile Pro may be restored using the same eligible Apple or Google account;
• Mobile Pro does not include a QuantSeller web subscription;
• Mobile Pro does not create or upgrade an account at quantseller.com; and
• web plans, services, quotas, cloud features, and marketplace integrations are separate products.

We may change the features available in future versions where reasonably necessary for compatibility, security, law, store requirements, technical maintenance, or product development. We will not knowingly remove mandatory consumer rights.

11. Payments, Taxes, Restorations, and Refunds

Purchases are processed by Apple App Store or Google Play. The applicable store controls payment authorization, supported methods, currency conversion, taxes, family-sharing eligibility, purchase history, refunds, chargebacks, and store-account access.

Aryares does not receive or store your complete payment-card information. You agree to provide accurate information to the applicable store and comply with its payment terms.

To request a refund, use the refund process provided by the store where you purchased the App or paid feature, unless applicable law requires another method. Approval of a refund is controlled by the store and applicable law.

If a purchase is refunded, reversed, charged back, found fraudulent, or otherwise invalidated, access to the related paid functionality may be removed.

12. Privacy and Data Deletion

Use of the App is governed by the QuantSeller Mobile Application Privacy Policy:

Local workspace data can be deleted through the App's Settings, by clearing the App's storage through your operating system, or by uninstalling the App. Aryares cannot remotely access, recover, export, or delete local workspace data because that information is not transmitted to Aryares.

Deleting the App does not automatically delete purchase records maintained by Apple or Google and may not delete App data contained in a device or cloud backup. Those records and backups must be managed through the applicable platform.

13. Acceptable Use

You must not:

• use the App for unlawful, deceptive, abusive, or fraudulent activity;
• violate intellectual-property, privacy, publicity, consumer, or other rights;
• enter information that you do not have the legal right to process;
• attempt to bypass payment, entitlement, advertising, security, or access controls;
• reverse engineer, decompile, disassemble, or derive source code except where applicable law expressly permits it;
• copy, modify, redistribute, rent, lease, sublicense, resell, commercially host, or create unauthorized derivative works from the App;
• introduce malware or harmful code;
• interfere with the App, app store, advertising provider, purchase service, or another user's device;
• use automated means to abuse or overload a third-party service used by the App;
• falsely represent App outputs as certified financial, tax, legal, accounting, or marketplace results; or
• use Aryares, QuantSeller, Etsy, Amazon, or third-party trademarks in a misleading manner.

14. Third-Party Services and Links

The App may depend on or link to services operated by Apple, Google, QuantSeller, Aryares, or other third parties. Third-party services are governed by their own terms, privacy policies, technical systems, and business decisions.

Aryares does not control and is not responsible for:

• third-party advertisements or content;
• app-store payment systems or account decisions;
• store outages or refund decisions;
• third-party privacy practices;
• external websites;
• changes to marketplace fees or policies; or
• the continued availability of a third-party service.

A link does not imply endorsement unless we expressly state otherwise.

15. Intellectual Property

The App, including its software, design, interface, text, graphics, icons, branding, calculation structure, documentation, and other content, is owned by Aryares LLC or its licensors and is protected by intellectual-property laws.

QuantSeller and associated branding are owned by Aryares LLC or used with authorization. These Terms do not transfer any ownership rights to you.

You retain rights that you lawfully hold in business information entered into the local App workspace. You grant Aryares no license to that local workspace information because it is not transmitted to Aryares.

Feedback you voluntarily send to us may be used to improve the App without restriction or compensation, provided we do not publicly identify you without permission.

16. Updates, Compatibility, and Availability

We may release updates to add, remove, correct, or change features and to maintain compatibility, security, legal compliance, store compliance, performance, or quality.

Device requirements and supported operating-system versions may change. Some functionality, including advertising privacy choices and purchases, requires internet access and compatible Apple or Google services.

We do not guarantee that:

• the App will be available in every country or on every device;
• every feature will operate without interruption or error;
• an older App version will remain compatible;
• third-party services will remain available; or
• local information will survive device loss, corruption, reset, backup failure, or uninstallation.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the App is provided "as is" and "as available," with all faults and without warranties of any kind, whether express, implied, or statutory.

Aryares disclaims, to the maximum extent permitted by law, warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, compatibility, and uninterrupted or error-free operation.

We do not warrant that calculations will match marketplace charges, accounting records, tax liabilities, actual profits, sales results, or future business performance.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent permitted by law.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Aryares LLC and its affiliates, members, managers, officers, employees, contractors, licensors, and service providers will not be liable for:

• indirect, incidental, special, consequential, exemplary, or punitive damages;
• lost profits, revenue, sales, savings, opportunities, goodwill, or business;
• lost, corrupted, or inaccessible data;
• inventory, pricing, advertising, tax, fulfillment, or marketplace decisions;
• business interruption;
• third-party services, advertisements, or marketplace changes; or
• unauthorized device access,

arising out of or relating to the App, even if advised that such loss may occur.

To the maximum extent permitted by applicable law, the total aggregate liability of Aryares for all claims relating to the App will not exceed the greater of:

• the amount you paid for the App or Mobile Pro during the 12 months preceding the event giving rise to the claim; or
• USD 25.

This limitation does not apply to liability that cannot lawfully be excluded or limited, including mandatory consumer rights where applicable.

19. Indemnification

To the extent permitted by applicable law, if you use the App on behalf of a business, you agree to defend, indemnify, and hold harmless Aryares LLC and its affiliates, members, managers, officers, employees, contractors, and licensors from claims, losses, liabilities, damages, and reasonable costs arising from:

• your unlawful use of the App;
• information you enter or process without authority;
• your violation of these Terms;
• your infringement of another person's rights; or
• your products, listings, sales, tax reporting, or marketplace activity.

This section does not apply where prohibited by mandatory consumer law.

20. Suspension and Termination

You may stop using and uninstall the App at any time.

We may restrict access to store-connected functions, support, or future updates if you materially violate these Terms, attempt fraud, circumvent purchase controls, create a security risk, infringe rights, or if restriction is required by law or an app-store decision.

Upon termination, your license to use the App ends. Sections that by their nature should survive termination, including intellectual property, disclaimers, liability limitations, dispute provisions, and payment obligations, will survive.

21. Governing Law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles.

This choice of law does not deprive you of mandatory consumer protections, jurisdiction rights, or remedies available under the law of your country or state of residence where those protections cannot be waived by contract.

22. Changes to These Terms

We may update these Terms to reflect changes in the App, third-party services, law, store requirements, or our business practices. The updated Terms will be posted at this URL with a revised "Last Updated" date.

Where required by law, we will provide additional notice or request consent for a material change. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by applicable law.

23. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.

Our failure to enforce a provision is not a waiver. You may not assign these Terms or your license without our written consent. Aryares may assign these Terms as part of a merger, acquisition, restructuring, financing, sale of assets, or by operation of law.

These Terms, the Privacy Policy, and applicable app-store terms constitute the entire agreement concerning the App and supersede prior discussions concerning the same subject.

Headings are provided for convenience and do not limit interpretation.

24. Apple-Specific Terms

If you download the App from Apple App Store:

• these Terms are between you and Aryares, not Apple;
• Apple is not responsible for the App or its content;
• Apple has no obligation to provide maintenance or support for the App;
• to the extent permitted by law, Apple has no warranty obligation regarding the App;
• Apple is not responsible for claims relating to the App, including product-liability, legal-compliance, or intellectual-property claims;
• you must comply with applicable third-party terms when using the App; and
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-specific provisions against you.
